4.1 General Prohibited Conduct

  • Attempting to probe, scan, or test the vulnerability of our systems or networks, or breach any security or authentication measures.
  • Interfering with or disrupting the integrity or performance of the Website or the data contained therein.
  • Circumventing, disabling, or otherwise interfering with security features of the Website.

4.3 Order-Related Prohibited Conduct

  • Placing fraudulent or fictitious orders with no intention of completing payment.
  • Abusing promotional codes, coupons, or loyalty rewards through unauthorized means or exploitation of system vulnerabilities.
  • Initiating unwarranted chargebacks or fraudulent payment disputes.
  • Attempting to manipulate pricing, discounts, or delivery fees through unauthorized means.

Violation of these prohibitions may result in immediate termination of your account, cancellation of pending orders, and potential legal action. We reserve the right to report any suspected illegal activity to the appropriate law enforcement authorities.

5. Ordering, Pricing, and Payment Terms

5.1 Orders

When you place an order through our Website, you are making an offer to purchase Food Products subject to these Terms. All orders are subject to acceptance by Dion's Pizza. We reserve the right to refuse or cancel any order at our discretion, including orders where we suspect fraud, pricing errors, or unavailability of products.

Menu items, descriptions, and images displayed on our Website are for illustrative purposes and may vary in appearance and presentation from the actual product delivered. Actual product weights, sizes, and ingredient compositions are approximate and may differ slightly.

5.2 Pricing

All prices displayed on our Website are in United States Dollars (USD) and are subject to applicable federal, state, and local taxes. Prices may change without prior notice. Delivery fees, service charges, and tips (where applicable) will be disclosed to you prior to order confirmation. We make every effort to ensure that pricing on our Website is accurate; however, in the event of a pricing error, we reserve the right to cancel the affected order and notify you accordingly.

5.3 Payment

We accept payment through the methods specified on our Website at the time of ordering, which may include major credit cards, debit cards, and other electronic payment methods. 5.4 Refunds and Cancellations

Due to the perishable nature of our Food Products, all sales are generally final once an order has been confirmed and preparation has begun. If you have a concern about your order — including receiving incorrect items, quality issues, or delivery problems — please contact us within twenty-four (24) hours at [email protected]. Refunds, credits, or replacements are issued at the sole discretion of Dion's Pizza on a case-by-case basis.

6. Delivery Terms

Delivery availability and estimated delivery times are subject to factors including but not limited to geographic location, weather conditions, order volume, traffic, and third-party delivery partner availability. Estimated delivery times are approximations only and are not guaranteed. Dion's Pizza shall not be liable for delays in delivery caused by circumstances beyond our reasonable control.

You are responsible for providing accurate and complete delivery address information. Dion's Pizza is not responsible for failed or delayed deliveries resulting from inaccurate, incomplete, or inaccessible delivery addresses provided by the customer. If a delivery cannot be completed due to customer error, a replacement order may be subject to additional charges.

7. Allergen and Nutritional Information Disclaimer

Dion's Pizza makes reasonable efforts to provide accurate allergen and nutritional information for our menu items. However, our Food Products are prepared in kitchens that may handle common allergens including but not limited to gluten, dairy, eggs, tree nuts, peanuts, soy, shellfish, and sesame. We cannot guarantee that any menu item is entirely free from allergens due to the risk of cross-contamination in our preparation environment.

8. Intellectual Property Rights

All content, materials, and intellectual property available on or through the Website, including but not limited to text, graphics, logos, icons, images, audio clips, digital downloads, data compilations, software, menu designs, brand names, slogans, trademarks, service marks, and trade dress (collectively, "Intellectual Property"), are the exclusive property of Dion's Pizza or its licensors and are protected by applicable United States and international intellectual property laws, including the Copyright Act (17 U.S.C. § 101 et seq.), the Lanham Act (15 U.S.C. § 1051 et seq.), and applicable state laws.

  • WARRANTIES THAT THE WEBSITE WILL BE UNINTERRUPTED, ERROR-FREE, SECURE, OR FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS.
  • WARRANTIES REGARDING THE ACCURACY, RELIABILITY, COMPLETENESS, OR TIMELINESS OF ANY CONTENT, INFORMATION, OR MATERIALS AVAILABLE ON THE WEBSITE.
  • WARRANTIES THAT DEFECTS IN THE WEBSITE WILL BE CORRECTED.

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE UNITED STATES LAW, INCLUDING APPLICABLE STATE LAW, IN NO EVENT SHALL DION'S PIZZA, ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, SUPPLIERS, PARTNERS, LICENSORS, OR SERVICE PROVIDERS BE LIABLE TO YOU OR ANY THIRD PARTY FOR ANY:

  • INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, PUNITIVE, OR EXEMPLARY DAMAGES.
  • LOSS OF PROFITS, REVENUE, DATA, GOODWILL, BUSINESS OPPORTUNITIES, OR ANTICIPATED SAVINGS.
  • PERSONAL INJURY OR PROPERTY DAMAGE RESULTING FROM YOUR USE OF THE SERVICES OR ANY FOOD PRODUCTS, EXCEPT WHERE SUCH LIABILITY CANNOT BE EXCLUDED BY LAW.
  • DAMAGES ARISING FROM UNAUTHORIZED ACCESS TO OR ALTERATION OF YOUR TRANSMISSIONS OR DATA.
  • DAMAGES ARISING FROM ANY FAILURE OR DELAY IN PERFORMANCE OF THE SERVICES.

IN ANY CASE, OUR TOTAL CUMULATIVE LIABILITY TO YOU FOR ALL CLAIMS ARISING OUT OF OR RELATED TO THESE TERMS OR YOUR USE OF THE SERVICES SHALL NOT EXCEED THE GREATER OF (A) THE TOTAL AMOUNT PAID BY YOU TO DION'S PIZZA IN THE THREE (3) MONTHS IMMEDIATELY PRECEDING THE CLAIM, OR (B) ONE HUNDRED UNITED STATES DOLLARS ($100.00).

SOME STATES DO NOT ALLOW CERTAIN LIMITATIONS OF LIABILITY, SO SOME OF THE ABOVE LIMITATIONS MAY NOT APPLY TO YOU. IN THOSE STATES, DION'S PIZZA'S LIABILITY IS LIMITED TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW.

12. Indemnification

You agree to defend, indemnify, and hold harmless Dion's Pizza, its officers, directors, employees, agents, contractors, licensors, suppliers, successors, and assigns (collectively, "Indemnified Parties") from and against any and all claims, liabilities, damages, judgments, awards, losses, costs, expenses, and fees (including reasonable attorneys' fees) arising out of or relating to:

  • Your violation of these Terms or any applicable law or regulation.
  • Your use or misuse of the Website or Services.
  • Your violation of any third-party rights, including intellectual property rights or privacy rights.
  • Any content you submit, post, or transmit through the Website.
  • Your negligent or willful misconduct.
  • Any misrepresentation made by you in connection with your use of the Services.
  • Any claim that your use of the Services caused damage to a third party.

Dion's Pizza reserves the right, at your expense, to assume the exclusive defense and control of any matter for which you are required to indemnify us, and you agree to cooperate fully with our defense of such claims. You agree not to settle any such matter without the prior written consent of Dion's Pizza.

13. Governing Law and Jurisdiction

These Terms of Service and any disputes arising out of or related to them or the Services shall be governed by and construed in accordance with the laws of the United States of America and the applicable laws of the state in which Dion's Pizza is registered and operates, without regard to conflict of law principles that would require the application of the laws of another jurisdiction.

The Federal Arbitration Act (9 U.S.C. § 1 et seq.) governs the interpretation and enforcement of the arbitration provisions in these Terms. Other applicable federal laws include the Federal Trade Commission Act (15 U.S.C. § 41 et seq.) and relevant consumer protection statutes. To the extent that California residents are using our Services, the California Consumer Privacy Act (CCPA) and the California Privacy Rights Act (CPRA), Cal. Civ. Code § 1798.100 et seq., may also apply.

Subject to the arbitration agreement set forth in Section 14 below, you consent to the exclusive personal jurisdiction and venue of the federal and state courts located in the United States for the resolution of any disputes not subject to arbitration. You waive any objection to the laying of venue of any such proceeding in such courts and any claim that such proceeding has been brought in an inconvenient forum.

14. Dispute Resolution and Arbitration

14.1 Informal Resolution

Before initiating any formal legal proceeding, you agree to first contact Dion's Pizza at [email protected] and describe the nature of the dispute in reasonable detail. The parties agree to make a good-faith effort to resolve the dispute informally within thirty (30) days of the initial notice. This informal dispute resolution process is a condition precedent to initiating arbitration or any other legal action.

14.2 Binding Arbitration

IF THE INFORMAL DISPUTE RESOLUTION PROCESS DOES NOT RESOLVE THE DISPUTE, YOU AND DION'S PIZZA AGREE THAT ANY AND ALL DISPUTES, CLAIMS, OR CONTROVERSIES ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICES SHALL BE RESOLVED EXCLUSIVELY THROUGH FINAL AND BINDING ARBITRATION, RATHER THAN IN COURT, EXCEPT AS SET FORTH IN SECTION 14.4 BELOW.

Arbitration shall be conducted by a nationally recognized arbitration organization, such as the American Arbitration Association (AAA) or JAMS, in accordance with its applicable Consumer Arbitration Rules, which are available at www.adr.org or www.jamsadr.com. The arbitration shall be conducted in the English language. The arbitrator's decision shall be final and binding and may be entered as a judgment in any court of competent jurisdiction.

14.3 Class Action Waiver

TO THE EXTENT PERMITTED BY APPLICABLE LAW, YOU WAIVE YOUR RIGHT TO PARTICIPATE IN A CLASS ACTION LAWSUIT OR CLASS-WIDE ARBITRATION AGAINST DION'S PIZZA. ALL CLAIMS MUST BE BROUGHT IN YOUR INDIVIDUAL CAPACITY AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS OR REPRESENTATIVE PROCEEDING.

14.4 Exceptions to Arbitration

Notwithstanding the foregoing, either party may bring an individual action in small claims court, and either party may seek emergency injunctive or other equitable relief in a court of competent jurisdiction to prevent the actual or threatened infringement, misappropriation, or violation of a party's intellectual property rights or confidential information.

15. Term and Termination

These Terms of Service are effective as of the date you first access or use the Website or Services and shall remain in full force and effect until terminated in accordance with this Section.

15.1 Termination by You

You may terminate your account and these Terms at any time by discontinuing use of the Website and Services and, if applicable, by requesting deletion of your account by contacting us at [email protected]. Termination of your account does not relieve you of any obligations you have incurred prior to the date of termination, including any outstanding payment obligations.

15.2 Termination by Dion's Pizza

We reserve the right, at our sole discretion, to suspend, restrict, or permanently terminate your access to the Website and Services, with or without notice, and without liability to you, for any reason, including but not limited to:

  • Your violation of any provision of these Terms.
  • Your engagement in fraudulent, abusive, or illegal activity.
  • Receipt of complaints from other users or third parties about your conduct.
  • Extended periods of account inactivity.
  • Our decision to discontinue the Website or Services.

15.3 Effect of Termination

Upon termination of these Terms for any reason, your license to use the Website and Services will immediately cease. Sections of these Terms that by their nature should survive termination shall survive, including but not limited to Sections 8 (Intellectual Property), 10 (Disclaimers), 11 (Limitation of Liability), 12 (Indemnification), 13 (Governing Law), 14 (Dispute Resolution), and 18 (Severability).

16. Changes to Terms

Dion's Pizza reserves the right to modify, update, or replace any part of these Terms of Service at any time, at our sole discretion. We will provide notice of material changes by updating the "Last Updated" date at the top of this page and, where reasonably practicable, by sending you a notification via email to the address associated with your account or by displaying a prominent notice on our Website.

Your continued use of the Website or Services after any changes to these Terms constitutes your acceptance of the revised Terms. If you do not agree to the modified Terms, you must stop using the Website and Services immediately and may close your account as described in Section 15.1. 17. Force Majeure

Dion's Pizza shall not be liable for any delay or failure in performance resulting from causes beyond our reasonable control, including but not limited to acts of God, natural disasters, pandemics, epidemics, government actions or restrictions, labor disputes or strikes, supply chain disruptions, power outages, internet or telecommunications failures, terrorism, civil unrest, or any other event of force majeure. In such circumstances, our obligations will be suspended for the duration of the force majeure event, and we will make reasonable efforts to resume normal operations as soon as practicable.

18. Severability

If any provision of these Terms of Service is found to be invalid, illegal, void, or unenforceable by a court or arbitrator of competent jurisdiction, that provision shall be deemed modified to the minimum extent necessary to make it enforceable, or if it cannot be so modified, it shall be severed from these Terms. The invalidity or unenforceability of any provision shall not affect the validity or enforceability of any other provision of these Terms, and all remaining provisions shall continue in full force and effect.

The parties acknowledge that they would have entered into these Terms and each provision hereof even if any one or more provisions were subsequently declared invalid or unenforceable.

19. Entire Agreement and Waiver

These Terms of Service, together with our Privacy Policy and any other agreements or policies expressly incorporated by reference herein, constitute the entire agreement between you and Dion's Pizza with respect to your use of the Website and Services and supersede all prior and contemporaneous agreements, representations, warranties, and understandings, whether written or oral, relating to the subject matter hereof.

No waiver by Dion's Pizza of any term or condition set forth in these Terms shall be deemed a further or continuing waiver of such term or condition or a waiver of any other term or condition, and any failure of Dion's Pizza to assert a right or provision under these Terms shall not constitute a waiver of such right or provision. A waiver is only effective if it is in writing and signed by an authorized representative of Dion's Pizza.

20. No Agency or Partnership

Nothing in these Terms shall be construed to create any agency, partnership, joint venture, employer-employee, or franchisor-franchisee relationship between you and Dion's Pizza. You do not have any authority to bind Dion's Pizza in any way whatsoever. Our relationship is that of independent parties conducting arm's-length transactions in accordance with these Terms.

21. Assignment

You may not assign, transfer, sublicense, or delegate any of your rights or obligations under these Terms without the prior written consent of Dion's Pizza. Any attempted assignment in violation of this Section shall be null and void. Dion's Pizza may freely assign these Terms or any rights or obligations hereunder, including in connection with a merger, acquisition, corporate restructuring, sale of assets, or operation of law, without restriction and without your consent.

22. Electronic Communications and Consent

By using our Website and Services, you consent to receive electronic communications from Dion's Pizza, including but not limited to order confirmations, receipts, account information, promotional offers, and policy updates. You agree that all communications we provide to you electronically satisfy any legal requirement that such communications be in writing. You may opt out of promotional communications at any time by following the unsubscribe instructions included in such communications or by contacting us directly.
