Estimated delivery times are approximations only and are not guaranteed. Dion's Pizza shall not be liable for delays in delivery caused by circumstances beyond our reasonable control.

You are responsible for providing accurate and complete delivery address information. Dion's Pizza is not responsible for failed or delayed deliveries resulting from inaccurate, incomplete, or inaccessible delivery addresses provided by the customer. If a delivery cannot be completed due to customer error, a replacement order may be subject to additional charges.

Dion's Pizza makes reasonable efforts to provide accurate allergen and nutritional information for our menu items. LOSS OF PROFITS, REVENUE, DATA, GOODWILL, BUSINESS OPPORTUNITIES, OR ANTICIPATED SAVINGS.

IN ANY CASE, OUR TOTAL CUMULATIVE LIABILITY TO YOU FOR ALL CLAIMS ARISING OUT OF OR RELATED TO THESE TERMS OR YOUR USE OF THE SERVICES SHALL NOT EXCEED THE GREATER OF (A) THE TOTAL AMOUNT PAID BY YOU TO DION'S PIZZA IN THE THREE (3) MONTHS IMMEDIATELY PRECEDING THE CLAIM, OR (B) ONE HUNDRED UNITED STATES DOLLARS ($100.00).

SOME STATES DO NOT ALLOW CERTAIN LIMITATIONS OF LIABILITY, SO SOME OF THE ABOVE LIMITATIONS MAY NOT APPLY TO YOU. IN THOSE STATES, DION'S PIZZA'S LIABILITY IS LIMITED TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW.

12. Indemnification

You agree to defend, indemnify, and hold harmless Dion's Pizza, its officers, directors, employees, agents, contractors, licensors, suppliers, successors, and assigns (collectively, "Indemnified Parties") from and against any and all claims, liabilities, damages, judgments, awards, losses, costs, expenses, and fees (including reasonable attorneys' fees) arising out of or relating to:

Your violation of these Terms or any applicable law or regulation.
Your use or misuse of the Website or Services.
Your violation of any third-party rights, including intellectual property rights or privacy rights.

Your negligent or willful misconduct.

Subject to the arbitration agreement set forth in Section 14 below, you consent to the exclusive personal jurisdiction and venue of the federal and state courts located in the United States for the resolution of any disputes not subject to arbitration. 14. Dispute Resolution and Arbitration

14.1 Informal Resolution

The parties agree to make a good-faith effort to resolve the dispute informally within thirty (30) days of the initial notice. This informal dispute resolution process is a condition precedent to initiating arbitration or any other legal action.

14.2 Binding Arbitration

IF THE INFORMAL DISPUTE RESOLUTION PROCESS DOES NOT RESOLVE THE DISPUTE, YOU AND DION'S PIZZA AGREE THAT ANY AND ALL DISPUTES, CLAIMS, OR CONTROVERSIES ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICES SHALL BE RESOLVED EXCLUSIVELY THROUGH FINAL AND BINDING ARBITRATION, RATHER THAN IN COURT, EXCEPT AS SET FORTH IN SECTION 14.4 BELOW.

Arbitration shall be conducted by a nationally recognized arbitration organization, such as the American Arbitration Association (AAA) or JAMS, in accordance with its applicable Consumer Arbitration Rules, which are available at www.adr.org or www.jamsadr.com. The arbitration shall be conducted in the English language. The arbitrator's decision shall be final and binding and may be entered as a judgment in any court of competent jurisdiction.

14.3 Class Action Waiver

TO THE EXTENT PERMITTED BY APPLICABLE LAW, YOU WAIVE YOUR RIGHT TO PARTICIPATE IN A CLASS ACTION LAWSUIT OR CLASS-WIDE ARBITRATION AGAINST DION'S PIZZA. ALL CLAIMS MUST BE BROUGHT IN YOUR INDIVIDUAL CAPACITY AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS OR REPRESENTATIVE PROCEEDING.

14.4 Exceptions to Arbitration

Notwithstanding the foregoing, either party may bring an individual action in small claims court, and either party may seek emergency injunctive or other equitable relief in a court of competent jurisdiction to prevent the actual or threatened infringement, misappropriation, or violation of a party's intellectual property rights or confidential information.

15. Term and Termination

15.1 Termination by You

In such circumstances, our obligations will be suspended for the duration of the force majeure event, and we will make reasonable efforts to resume normal operations as soon as practicable.

18. Severability
